TERMS AND CONDITIONS OF SALE (TCS)
Applicable to SaaS, Consulting and Audit services

Preamble: These Terms and Conditions of Sale (hereinafter "TCS") apply automatically to all services provided by Global Risk Predictor (Gilles Legrand, Individual Entrepreneur) to professional clients (hereinafter "the Client"). Any order for services implies the Client's unconditional acceptance of these TCS.
ARTICLE 1 - IDENTITY OF THE SERVICE PROVIDER

ARTICLE 2 - PURPOSE AND SCOPE
These TCS aim to define the financial and technical conditions under which Global Risk Predictor provides the Client with the following services:
2.1 Services offered
- SaaS Mode: Online access to a financial health simulation and analysis platform, including sector simulators, resilience scores, default probabilities and a What-If module (depending on the formula).
- Consulting & Audit: Personalized support services, financial analysis and strategic recommendations, carried out by Gilles Legrand, without access to the SaaS platform.
- One-time Audit: One-time analysis and diagnosis mission, resulting in a detailed report.
2.2 Scope
These TCS apply to all sales of services made by Global Risk Predictor, whether via the website, by email, by telephone or during meetings. They prevail over any other document from the Client, in particular its general purchasing conditions.
ARTICLE 3 - ORDER AND SUBSCRIPTION PROCEDURES
3.1 For SaaS services
Subscription to a SaaS plan is done online via the website. The Client creates an account, chooses their formula (Essential, Business or Enterprise) and proceeds with payment. Validation of the order implies acceptance of these TCS and creation of the Client account.
3.2 For Consulting and Audit services
The order is formalized by a quote signed by the Client, valid for 30 days. The service begins after receipt of the deposit or full payment, according to the terms defined in the quote.
3.3 For One-time Audit
The One-time Audit is ordered via the site or by quote. The service begins after collection of the necessary information and validation of the scope.
ARTICLE 4 - PRICES AND PAYMENT TERMS
4.1 Prices
Prices are indicated in euros, excluding taxes (HT). VAT at the applicable rate (currently 20%) is applicable and will be charged in addition. Prices may be changed at any time, but ordered services are invoiced based on the prices in effect on the day of the order.

4.1.3 One-time Audit price

4.2 Payment terms
- SaaS Mode: Online payment by credit card (via Stripe) or bank transfer. The total amount of the annual subscription is due at the time of order.
- Consulting & Audit: 50% upon order, 50% upon delivery (unless otherwise stated in the quote).
- One-time Audit: 100% upon order.
4.3 Late payment
In case of late payment, late payment penalties at the legal interest rate increased by 5 points will be applied, as well as a flat-rate recovery indemnity of €40 (Article L.441-10 of the French Commercial Code). Any delay in payment may result in the immediate suspension of services without prior notice.
ARTICLE 5 - CHARACTERISTICS OF SERVICES
5.1 SaaS Mode
- Access: 24/7 via a secure web interface, subject to maintenance operations.
- Simulators: 6 sector simulators (Technology, Industry, Health, Services, Construction, Distribution).
- Features: Resilience score, default probability, What-If module (depending on formula), personalized recommendations, report export.
- Updates: Algorithms and simulators are regularly updated at no additional cost.
5.2 Consulting & Audit
- Service: Performed by Gilles Legrand, based on information provided by the Client.
- Deliverables: Analysis report, strategic recommendations, personalized action plan.
- Duration: Varies according to the mission, defined in the quote.
5.3 One-time Audit
- Service: Complete analysis of the company's financial health.
- Deliverables: Detailed report, resilience score, 12-month default probability, personalized recommendations.
- Deadline: 10 working days from receipt of all necessary information.
Important clarification: The resilience scores and default probabilities are personal creations of Gilles Legrand, based on proprietary mathematical formulas. There is no standard in this field. The Client adheres to these formulas by signing the contract. The ratios used are those adopted by classical finance, but the algorithms remain the exclusive property of Global Risk Predictor.
ARTICLE 6 - CLIENT'S OBLIGATIONS
6.1 For all services
- Provide accurate, complete and up-to-date information when ordering.
- Use the services in accordance with their purpose and applicable laws.
- Not attempt to circumvent, decompile or reverse engineer the algorithms and software.
- Not share login credentials with unauthorized third parties.
6.2 For SaaS services
- Maintain the confidentiality of login credentials.
- Immediately inform Global Risk Predictor of any unauthorized use of their account.
- Not use the simulators for data that does not correspond to reality.
6.3 For Consulting and Audit services
- Provide within the required deadlines all information and documents necessary for the performance of the service.
- Guarantee the accuracy of the information provided.
ARTICLE 7 - OBLIGATIONS OF GLOBAL RISK PREDICTOR
- Provide services in accordance with descriptions and with diligence.
- Ensure the availability of the site and simulators (excluding maintenance and force majeure).
- Guarantee the confidentiality of Client data.
- Comply with applicable data protection regulations.
ARTICLE 8 - DURATION AND TERMINATION
8.1 SaaS Mode
The contract is concluded for a period of one year, renewable by tacit agreement for periods of one year, unless terminated by the Client by email at least one month before the expiry date.
In case of termination, access to services is maintained until the end of the current subscription period. No refund is made in case of early termination, unless otherwise required by law.
8.2 Consulting & Audit
The duration is defined in the quote. The mission may be interrupted by the Client, but sums already paid remain acquired by Global Risk Predictor as compensation.
8.3 One-time Audit
One-time mission, no commitment beyond the delivery deadline.
8.4 Termination for breach
In the event of a serious breach by either party of its obligations, the other party may terminate the contract as of right 15 days after sending a formal notice that has remained unsuccessful.
ARTICLE 9 - INTELLECTUAL PROPERTY
9.1 Ownership of tools
All elements of the site (texts, images, logos, software, algorithms, databases) are the exclusive property of Gilles Legrand and are protected by copyright and database rights.
9.2 License to use (SaaS Mode)
The Client benefits from a non-exclusive, non-transferable license for the duration of the subscription, allowing them to use the simulators for their internal needs.
9.3 Deliverables (Consulting & Audit)
Deliverables provided to the Client (reports, analyses) are their exclusive property, but methodologies, formulas and know-how remain the property of Global Risk Predictor.
Prohibition of reverse engineering: Any attempt at decompilation, disassembly, decryption or any other form of reverse engineering of algorithms and simulators is strictly prohibited and will be prosecuted.
ARTICLE 10 - LIABILITY AND WARRANTIES
10.1 Limitation of liability
Global Risk Predictor undertakes to implement all necessary means for the provision of services, but is only bound by an obligation of means, unless otherwise provided by law.
10.2 Nature of results
The results provided by the simulators and analyses are estimates based on mathematical and statistical models. They do not constitute personalized financial advice, accounting or legal expertise, nor a guarantee of future performance.
10.3 Client's decisions
The Client is solely responsible for decisions made based on the information provided. Global Risk Predictor cannot be held responsible for the direct or indirect consequences of these decisions.
10.4 Force majeure
Global Risk Predictor's liability cannot be engaged in case of force majeure (within the meaning of Article 1218 of the Civil Code) or the act of a third party.
10.5 Liability cap
In any event, Global Risk Predictor's liability is limited to the amount paid by the Client for the service in question during the last 12 months.
ARTICLE 11 - PERSONAL DATA
Global Risk Predictor undertakes to protect the personal data of its Clients in accordance with its Privacy Policy and the GDPR. Financial information entered in the simulators is processed securely and is not kept beyond the session, except for subscribed Clients who can retain a history.
ARTICLE 12 - CONFIDENTIALITY
Each party undertakes to keep confidential the information and documents of the other party, of any nature whatsoever, to which it may have access in the context of the execution of the contract. This confidentiality obligation remains in effect for 3 years after the end of the contract.
ARTICLE 13 - APPLICABLE LAW AND JURISDICTION
These TCS are governed by French law. In the event of a dispute relating to their interpretation or execution, the parties will attempt to find an amicable solution. Failing this, the courts of Bordeaux shall have exclusive jurisdiction.
13.1 Mediation
In accordance with Articles L.616-1 and R.616-1 of the Consumer Code, the Client has the option to use the following mediation service free of charge:

ARTICLE 14 - MISCELLANEOUS PROVISIONS
14.1 Non-waiver
The fact that one of the parties does not avail itself of a breach by the other party of any of the contractual obligations shall not be interpreted as a waiver of the obligation in question.
14.2 Partial nullity
If one or more stipulations of these TCS are declared null or inapplicable, the other stipulations shall retain all their force and scope.
14.3 Entirety
These TCS, the quote (if applicable) and the order confirmation constitute the entire agreement between the parties.
ARTICLE 15 - CLIENT'S ACCEPTANCE
The Client acknowledges having read these TCS and accepts them without reservation. Placing an order implies full and complete acceptance of these terms.
